You shall incur a participation fee for participation in the Event (“Event Participation Fee”). Once you have successfully participated in the Event, we may provide you with various content, material, and information as part of your participation in the Event.

The details of various Events will be specified on the Website from time to time. Please note that the Events listed on the Website are by no means exhaustive in nature. We may introduce and provide various other events that may or may not be listed on the Website.

We reserve the right (which may be exercised on a case-to-case basis) to (i) limit the participation of the Event to any person, geographic region, or jurisdiction; (ii) refuse to provide access to the Event to anyone for any reason at any time; and (iii) discontinue any Event at any time.

We may make available on the Website individual online courses (“Individual Online Courses”) that are owned by Awakened Goddess or its third-party licensors. Upon payment of the license fee (either one-time or recurring) specified on the Website (“License Fee”) and subject to compliance with these Terms and Other Policies, Awakened Goddess grants you a limited, revocable, non-exclusive, non-sub-licensable, non-transferable right to access and use the Individual Online Courses as made available on the Website solely for your personal and non-commercial purposes. You may not download, share, sell, reprint, republish, replicate, distribute, lease, modify, provide access to the Individual Online Courses to any third party, or otherwise exploit for any commercial purpose, commercial advantage, or private monetary compensation.

We may also provide memberships for accessing various online courses (“Course Membership”). A variety of different online courses may be licensed on a subscription basis under the Course Membership. You shall incur a subscription fee (either one-time or recurring) for accessing the Course Membership and any other charges in connection with your use of the Course Membership, such as taxes and possible transaction fees (“Membership Fees”).

Clauses 5.1 in respect of Individual Online Courses shall equally apply mutatis mutandis to the online courses provided under Course Membership (Individual Online Courses and courses under the Course Membership shall collectively be called “Online Courses”).

We reserve the right (which may be exercised on a case-to-case basis) to (i) limit the licensing of the Online Courses (in any manner whatsoever) to any person, geographic region, or jurisdiction; and (ii) refuse to provide the Online Courses to anyone for any reason at any time.

Ownership of all material relating to the Online Courses shall vest with us.

PRICING AND BILLING

To access the Events, Individual Online Courses, or Course Membership, you must provide us with a current, valid, and accepted method of payment by the Website, as updated from time to time (“Payment Method”). The Event Participation Fee, License Fees, or the Membership Fees, as the case may be, will be charged to the Payment Method. You authorize us to charge the Payment Method.

Under Course Membership, the length of your billing cycle will depend on the type of the Course Membership you purchase. The billing cycle usually (but not necessarily) begins from the date the first Membership Fees will be charged. In some cases, the payment date may change, for example, if your Payment Method has not successfully settled, when you change your subscription plan, or if your paid subscription began on a day not contained in a given month.

If a payment is not successfully settled due to any reason whatsoever, including but not limited to expiration, insufficient funds, or otherwise, we may not grant you access to the Event, Individual Online Course, or the Course Membership (as the case may be), or suspend your access to the same, until we have successfully charged a valid Payment Method. For some Payment Methods, the issuer may charge you certain fees, such as foreign transaction fees or other fees relating to the processing of your Payment Method. Local tax charges may vary depending on the Payment Method used.

You can update your Payment Methods by contacting us. Following any update, you authorize us to continue to charge the updated Payment Method.

You can cancel your Course Membership at any time, and you will continue to have access to the subscription through the end of your billing cycle. To the extent permitted by the applicable law, payments are non-refundable and we do not provide refunds or credits for any partial subscription periods or unused access to the Course Membership. If you cancel your Course Membership, your access will automatically terminate at the end of your current billing cycle.

Payments made in respect of an Event or Individual Online Courses are also non-refundable and we do not provide any refunds or credits whatsoever irrespective of whether or not you participate in or avail of the Event or Individual Online Course.

By purchasing any of the CIOC Products, you represent and warrant that you have the authority to use the Payment Method.

We are entitled to refuse to process or suspend a transaction. We shall not be liable for any loss, damage, cost, expense, or claim incurred by you or any third party as a result of or in connection with our refusal or suspension of any transaction.

You authorize us to authenticate your identity, obtain information about you from third parties, transmit information about you to third parties (such information includes, but is not limited to credit card or debit card details) and obtain card authorizations, and other authorizations related to Payment Methods.

UNLESS YOU NOTIFY US BEFORE A CHARGE THAT YOU WANT TO CANCEL OR DO NOT WANT TO AUTO RENEW, YOU UNDERSTAND YOUR SUBSCRIPTION FOR COURSE MEMBERSHIP WILL AUTOMATICALLY CONTINUE AND YOU AUTHORIZE US (WITHOUT NOTICE TO YOU, UNLESS REQUIRED BY APPLICABLE LAW) TO COLLECT THE THEN-APPLICABLE MEMBERSHIP FEE AND ANY TAXES, USING ANY PAYMENT METHOD WE HAVE ON RECORD FOR YOU.

TERMINATION

In addition to other rights granted pursuant to the Term and Other Policies, we shall be entitled to terminate your access to the Course Membership without cause by giving you advance notice of 30 days. In such an event, we shall refund you, on a prorate basis, for the period during which the Course Membership has not been availed.
